ACRE Las Vegas 2017 – New to Wholesale Category Agreement

THIS IS A CONTRACT - PLEASE READ! This is an agreement between you and IndieMe, Inc. (WSC), including the American Craft Retailers Expo (ACRE). The use of “I”, “my”, “you”, or “your” means you, your business, or your company. Please read this agreement thoroughly. By agreeing to this document, you signify that you are making a binding commitment to exhibit and have read, understand and agree to the following terms:



IndieMe WEB SERVICE:



1) You are signing up for a booth at ACRE June 3 - June 5, 2017 at the South Point Hotel and Casino, which includes 12 months of free web services. If you are not a current member of IndieMe (Formerly Wholesalecrafts.com), the commencement of your free 1 year of web services, is upon jury acceptance and after your first payment is made; regardless of the date your page is actually published. ACRE artists must publish their web page no less than 2 months prior to show opening. If you are a current IndieMe artist member, you will receive your free year of web services after your ACRE booth fee deposit is paid and your current web service contract expires.



2) After the initial 12 month free web service period, your services will continue at the normal published rate (see web site for current rates), less ACRE discounts if applicable, until your written cancellation notice is received by e-mail , fax, or US mail. Cancellations via telephone will not be accepted. Cancellations will be effective within 30 days of IndieMe receipt of the request.



3) IndieMe, Inc. retains the right to deny your web membership, show participation, or print media inclusion for any reason. Any false statements on your application are grounds for immediate termination of the contract.



4) IndieMe, Inc. may use your name and images to promote its services, programs and projects, including ACRE, without further written consent or additional consideration.



5) You agree to respond to every retailer web inquiry or order within 2 weeks from the receipt date. If you choose not to conduct business with a particular retailer, you will inform the retailer immediately. Ignoring retailers is an unacceptable practice which affects the integrity of the website. Members who repeatedly ignore multiple inquiries will void their contract and their services will be discontinued without a refund.



6) You guarantee that your business is artist owned and ALL WORK IS YOUR COMPANY’S ORIGINAL DESIGNS MADE IN THE USA OR CANADA. Your work is not made from kits or unaltered commercial molds. You are unaware of any third party claims of rights to or in your work and do not have a copyright infringement case pending on any images of your work shown on the website or products shown at ACRE.



7) All web services are on a “best efforts” basis and you hold IndieMe, Inc. harmless against any loss of income from website malfunction, programming errors, or any other human or mechanical errors which may occur during your service period.

8) You agree to indemnify, defend and hold IndieMe and its shareholders, employees, agents and affiliates harmless from any and all claims, demands, damages and liabilities by or from you or any third party, including but not limited to lost income, damage to property, bodily injury, claims of intellectual property infringement, tort or breach of contract, in connection with your participation in ACRE and or IndieMe.



9) Products displayed at ACRE will be of the same quality and media balance as the images used during the jury process. Any change in media or product category must be approved by IndieMe prior to exhibiting or uploading images on your Artist Page



10) If your ACRE booth is not occupied by 3pm the day before the show opens, AND you have not notified us of your late arrival by calling 888.427.2381, you will be considered a “no show.” IndieMe, Inc. may re-sell or use the space at its discretion and your web account will be cancelled. No refunds will be given.



11) Booths may not be re-sold, transferred or assigned. Only the applicant, business or company completing the application may show the products approved by the jury. The artist or studio employees must be present in your ACRE booth. Sales reps are not permitted to staff the booth.



12) Booth sharers must apply separately and will be charged the sharing fee. The primary booth holder will be charged the full booth fee.



13) You are expressly forbidden from dismantling or packing any portion of your exhibit booth prior to the official show closing.



14) Your credit card or bank draft will be charged immediately upon acceptance. IndieMe is not responsible for overdraft bank charges should an overdraft occur. If you selected the pay by check option, you will mail a check immediately upon acceptance notification. Monthly payers will be charged the first of each month until the booth fee is paid in full, without further notice. By entering your credit card/debit card or bank draft information, you agree to allow IndieMe to process payments as scheduled. IndieMe may terminate your participation in ACRE if payments are not made in a timely manner without further notice and without obligation to refund monies previously paid. ACRE reserves the right to refuse you permission to move in and set up an exhibit if you are in arrears of a payment.



15) You are solely responsible for your booth and its contents and for their delivery or shipment to or from the show site.



16) Your show directory listing will be the business name on the original application. IndieMe is not responsible for late submissions, errors or omissions in the directory listings (no refunds or credits will be issued).



17) You agree to abide by all rules and regulations as outlined in the Exhibitor Kit and to comply with all directives given by authorized tradeshow personnel.



18) ACRE CANCELLATION POLICY: If you cancel your ACRE booth on or before 90 days of the first day of the show, a cancellation fee equal to 1/3 of the total booth fee will be charged. Upon ACRE cancellation, your free web service will discontinue. If you choose, you may continue the web service at the current published rate. Cancellations that occur within 90 days of the first day of the show will be liable for the entire booth fee. Any elective marketing fees such as co-op and Buyer’s Guide ads must be paid in full. All cancellations must be in writing and received by e-mail, fax, or US mail. Cancellations via telephone will not be accepted. Cancellations will be effective within 30 days of IndieMe, Inc. receipt of the request.
