Harbor Arts and Books Fair - Fall 2017 Agreement



Vendor hereby agrees to indemnify, defend and protect Camden Public Library and the Town of Camden, Maine, against, and hold and save Camden Public Library and  the Town of Camden, Maine, harmless from, any and all claims, demands, suits, liability, damages, loss, costs, attorney fees, and expenses of whatever kind or nature that might result from or arise out of any action or failure to act of Vendor or any of its officers, agents, employees, or other representatives, including but not limited to claims of damage or loss to property, or from or out of any damage, loss, harm, or injury to the person of Vendor or any of its officers, agents, employees, or other representatives.



Vendor assumes all responsibility for compliance with federal, state, and local codes and all laws related to public safety. Vendor is responsible to meet all requirements of the Americans with Disabilities Act. Wiring and decorating materials must all conform to local codes and fire regulations. Vendor assumes the responsibility to ascertain that all codes and laws have been met, including issues related to facility services.



Vendors are solely responsible to obtain the necessary licenses for all usage of music or video, and all costs for such licenses are the responsibility of Vendor. Also, Food Vendors are solely responsible for obtaining a Victualer License from the Town of Camden and for all costs associated with such a license.



The Vendor agrees (and shall procure the agreement of all relevant persons) that its personnel, trademarks, logos or company names displayed at the Event, may be photographed, filmed or sound recorded by Camden Public Library or its Connected Persons for promotional purposes, and irrevocably grants Camden Public Library permission to use such images and recordings for any commercial or non-commercial purpose, in any media, globally and at any time, including in printed publications, presentations, promotional materials, advertisements and websites.



Product Liability for any product sold at the show is the responsibility of the Vendor.



This contract may be cancelled by Vendor by giving written notice to Camden Public Library subject to the following fees: On or before July 14, 2017 -- 100 % of the full contracted space rental fee will be refunded less a $50 processing fee. July 15, 2017 or later -- no refunds. The fees apply in the event of Vendor cancellation or failure to participate for any reason whatsoever.



In the case that the Event is unable to operate, in the sole determination of Camden Public Library, whether due to acts of God, war, illness, public safety, strike, civil commotion, picketing, fire, or state of emergency, or by reason of any other occurence not under the control of Management, or otherwise, Camden Public Library may cancel, postpone, or terminate the Event. In the case of such cancellation, postponement, or termination, Vendor waives any and all claims Vendor may have against Camden Public Library for damages or expenses and agrees to accept in complete settlement and discharge of all claims, Vendor's pro rata share of the total amount paid by all Vendors, excluding deposits, less all costs and expenses incurred by Camden Public Library in connection with the Event.
