Highlands Street Fair 2018 Agreement All vendors agree to abide by all policies, procedures, guidelines, fee schedules and operations relating to the Highlands Street Fair and the Highlands Merchant Association. Highlands Street Fair or Team Player Productions are not responsible for any damages or loss. All vendors are required to to submit a Certificate of Insurance naming Team Player Productions, Inc 1539 Platte Street Suite 206 Denver, CO 80202 as Certificate Holder and as additional insured showing liability coverage for $1,000,000.00 incidental and $2,000,000.00 general aggregate. This insurance policy must list the following information in the “Additional Insured” box: Highlands Street Fair, Highlands Merchant Association, Team Player Productions and their officers, members, volunteers, staff and agents, the State of Colorado, and the owners of any Highlands Street Fair related property as additional insured's. Vendor hereby agrees to defend, indemnify and hold harmless Highlands Street Fair, Highlands Merchant Association, Team Player Productions,  and its respective officers, directors, employees, volunteers, agents and representatives, from all claims, suits, actions, damages, and liability (including without limitation reasonable attorney’s fees, costs and expenses of defense) for personal injury, death or property damage that arises out of or is caused, in whole or in part, by vendor negligence or wrongful misconduct conducted on the premises of the Event and its responsibilities herein.  The foregoing indemnity shall apply regardless of whether the injury, death or property damage is contributed to by the active or passive negligence of vendor, but it will not apply to the extent that the injury, death or property damage is (i) caused solely by the negligence of Highlands Fair or its agents, volunteers or employees or (ii) is caused or contributed to by the intentional tortuous acts or gross negligence of Highlands Street Fair or its agents, volunteers or employees. Vendor understands that only minimal security will be provided overnight, so all goods of value should be removed from the grounds. Team Player Productions nor Highlands Street Fair is responsible for lost or stolen items. Vendor agrees that Highlands Street Fair may revoke immediately all of the rights of the Vendor, his/her agents or his/her employees to exhibit space at the People's Fair for violation of any policy, rule or procedures or for sale of any menu item(s) not previously approved by the Highlands Street Fair management. Highlands Street Fair Management reserves the right to assign Vendor’s space in accordance with the best interest of the Highlands Street Fair. By signing below, Vendor represents that all information provided on the application for Vendor space is true and correct.  Vendor also represents that they have read and understand all the policies and procedures outlined herein and in the Highlands Street Fair application and fee schedule, and it is agreed that all information included in this document is part of this contract and no other agreement shall be binding upon the parties unless in writing and signed by the President and CEO of the Highlands Street Fair.
