Allen Arts Festival 2019 Agreement This Hold Harmless and Indemnification Agreement made upon the date of application by and between (Licensor) CoventryII DDR Trademark Montgomery Farm LLC, D/B/A Waters Creek and the (Licensee)applying for acceptance. WHEREAS the Licensee seeks to participate in the Watters Creek Fine Arts Festival Presented by the Allen Arts Alliance and offer original art for sale on the dates indicated above: AND WHEREAS the Licensor is willing to allow such activity by the Licensee only for the date and time as stated; NOW THEREFORE< in consideration of the Agreement and other good and valuable consideration the Licensee, intended to be legally bound, covenants and agrees as follows: Licensee shall protect, defend, indemnify, save and hold harmless Licensor, its partners, subsidiaries, officers, directors, employees, agents and TRADEMARK PROPERTY COMPANY, its officers, directors, employees and agents and any tenant or occupant of the Shopping Center and any fee owner of ground or underlying lessors of the Shopping Center, against and from any and all claims, demands, fines, suits, actions, proceedings, orders, decrees and judgments or any kind or nature by or in favor of anyone whomsoever, and against and from any and all costs, damages and expenses, including attorney’s fees, resulting from, or in connection with, loss of life, bodily or personal injury or property damage arising, directly or indirectly, out of or from, or on account of , any accident or other occurrence in, upon, at or from the Shopping Center, or occasioned in whole or part through the negligent use of occupancy of the Shopping Center, or by any negligent act or omission of Licensee, or any employees, agents, contractors, or invitees in, upon, at or from the Shopping Center or its appurtenances or any part of the Shopping Center. All Licensee’s personal property, fixture or equipment of every kind orf description which may at any time be in the Shopping center shall be at Licensee’s sole risk and Licensor shall not be liable for any damage to said property caused in any manner whatsoever. In testimony whereof, Licensor and Licensee have caused this Agreement to be signed as of the application to participate in the Watters Creek Fine Arts Festival.
