Calistoga Christmas Faire 2019 Agreement

NAPA COUNTY FAIR ASSOCIATION, hereinafter called the Association, hereinafter called the Exhibitor, hereby agree as follows:

 

  1. That the Association, for and in consideration of the covenant herein contained and the faithful performance by the Exhibitor of all such covenants, hereby grants to the Exhibitor the sole right to use for the period of the Napa County Fair, the exhibit space on the Association’s Fairgrounds known as 10 x 10  indoor/outdoor, or larger booth Exhibitor, subject to all the terms and provisions of this agreement.


Fair hours:  December 7, 2019, 9am- 4pm.   Booth must be staffed 9 am- 4 pm


  1. These premises shall be used for the following specified purpose(s), and for no other purpose(s) without the prior written consent of Association: Arts & Crafts Vendor or Nonprofit Organization

  2. That the Exhibitor shall pay to the Association for the use of the premises as determined by your application acceptance and payment through Zapplication.




  • non-refundable payment due on or before October 23, 2019;

  • Certificate of General Liability Insurance or payment of $22.00 on or before November 8, 2019.




  1. That the rules and regulations printed on the reverse side hereof are made a part of this agreement as though fully incorporated herein, and that the Exhibitor agrees that he has read this agreement, the conditions, rules, and regulations and understand that they shall apply, unless amended by mutual consent in writing of the parties hereto.  Special provisions or modifications: None.

  2. Exhibitor agrees to indemnify, defend, and save the State of California, County of Napa, its Board of Supervisors, Napa County Fair Association, its Board of Directors, and the officers, agents and employees of each of them harmless from any and all claims for loss, damage, injury, or liability of any nature whatsoever arising in any respect, directly or indirectly, out of the use or occupation of any part of the premises of Association pursuant to this agreement by Exhibitor, or any officer, agent, employee, representative, patron, customer, admittee, guest, invitee, or other person in or on such premises at the direction, request, or invitation of or pursuant to any agreement with Exhibitor.

  3. Exhibitor at its expense shall provide insurance, satisfactory to Association, for the term of the agreement naming as additional insureds and protecting the State of California, County of Napa, its Board of Supervisors, Napa County Fair, its Board of Directors, and the officers, agents, and employees of each of them from liability for bodily injury and/or property damage arising in any respect, directly or indirectly, out of the use of any part of the premises of Association pursuant to this agreement by Exhibitor or any officer, agent, employee, representative, patron, customer, admittee, guest, invitee, or other person in or on such premises at the direction, request or invitation of or pursuant to any agreement with Exhibitor.  Exhibitor shall furnish Association with a certificate from Exhibitor’s insurer of such insurance which shall provide for at least three days notice to Association of cancellation by such insurer or by Exhibitor and shall show the amount of coverage for individual and aggregate bodily injury per occurrence and for property damage per occurrence, to be not less than, respectively, ONE MILLION DOLLARS COMBINED SINGLE LIMIT PERSONAL INJURY AND PROPERTY DAMAGE.  A CERTIFICATE OF INSURANCE MUST BE IN THE FAIRGROUNDS OFFICE PRIOR TO THE EVENT. 

  4. It is mutually understood and agreed that no alteration or variation of the terms of this agreement shall be valid unless made in writing and signed by the parties hereto, and that no oral understandings or agreements not incorporated herein and no alterations or variations of the terms hereof, unless made in writing between the parties hereto, shall be binding on any of the parties hereto.

  5. In the event the Exhibitor fails to comply in any respect with the terms of this agreement all payments for this exhibit space shall be deemed earned and non-refundable by the Association and the Association shall have the right to occupy the space in any manner in the best interests of the Association without further notice to Exhibitor.

  6. The Exhibitor shall not assign or sublet said space, or any part thereof, without the written and duly signed consent of the Association.

  7. That this agreement is not binding upon the Association until it has been duly accepted and signed by its authorized representative.

  8. Special Provisions:  ALL DECORATIVE MATERIAL MUST BE FLAME RETARDANT.  ALL EXHIBITS AND DISPLAYS MUST BE REMOVED BY 3:00 PM on Monday, December 9, 2019.


By submitting an application and fee, the vendor agrees that this agreement has been read and understands and entered into freely, voluntarily and absent of duress by the parties listed on the application.



This application is for the purpose of assisting Celebrate! Napa Valley in the selection of the 2019 Calistoga Christmas Faire Arts & Crafts vendors. This application is not a contract, nor a guarantee of same.



Refunds 

All application and participation fees are non-refundable.

 

Event Cancellation

There is no rain policy. The Calistoga Christmas Faire will operate as planned in the case of rain or adverse weather conditions unless deemed unsafe. Artist understands in the case of Force Majeure, CNV will not be liable for damage sustained.

 

Safety

Participating Artists must comply with all safety requirements, and local and state laws.

 

Advertising Policy

Images of participating artists and wait-listed artists become the property of the CNV and may be used for archival, publicity, website and confirmation purposes before, during and after the show.

 

California Seller’s Permit

All participating Artists must have a California Board of Equalization (BOE) issued Seller’s Permit.  Proof of permit must be received by The Napa County Fair office no later than November 15, 2019. Contact the Board of Equalization at (707) 576-2100 for more information.

Sales Tax

Participating Artists are responsible for collecting and paying current California sales tax on all sales made during the Faire and for reporting the sales having been made at the Napa County Fairgrounds.



Food

Health permits are required for all vendors selling or sampling food items.  Upon acceptance into the show, the permit application will be provided by CCF. The vendor is responsible for returning application and fee to CCF no later than November 8, 2019.  Nonprofit organizations are exempt from the fee, but not the application.
